1. Preamble

These terms of use (the "Terms") apply to any user ("User") who accesses the website https://treefrog.fr/ (the "Website") and to TreeFrog Therapeutics, a simplified joint-stock company (société par actions simplifiée), located at 30 Avenue Gustave Eiffel, Bat A, 33600 Pessac, registered with the Bordeaux Trade and Companies Register under number 844 370 320 ("TreeFrog Therapeutics").

The Website is a non-commercial site intended to present TreeFrog Therapeutics in France and internationally. The purpose of the Website is to inform the public about the research, activities, governance, employment opportunities, social and environmental commitments of TreeFrog Therapeutics, and recent events concerning the company.

The information presented on the Website is provided by TreeFrog Therapeutics for information purposes only. Accordingly, no claim is made as to the completeness of the information provided. TreeFrog Therapeutics strives to keep the Website up to date and to present reliable and valid information. 4. Technical information

4.1 Technical requirements

Access to the Website can only be offered to users who have a compatible computer configuration meeting the following requirements:

• A broadband internet connection from a provider well known on the market;
• More generally, the equipment and hardware enabling the User to access and browse the Website. For the purposes of this section, "Equipment" means all hardware and software, including the information system and networks, workstations, computers, mobile phones, email addresses and tablets, used by the User to access the Service, in the User's possession and for which the User alone is responsible and in control.

All costs of accessing and using the Website, including the costs of hardware, software and internet access, are borne exclusively by the User. The User is solely responsible for the proper functioning of their equipment and their internet access.

The Website is accessible free of charge, 24 hours a day, 7 days a week, at the URL https://treefrog.fr/ by any User meeting the aforementioned technical conditions, subject to the occurrence of any event of force majeure or any event beyond the control of TreeFrog Therapeutics, and subject to any interruption, suspension or limitation related to maintenance and/or update operations necessary to ensure the proper functioning of the Website.

Given the nature and complexity of the Internet, its technical performance and response times when consulting, searching or transferring data and information, TreeFrog Therapeutics has only a best-efforts obligation (obligation de moyens) regarding the accessibility, operation and/or availability of the Website or any part of the Website.

TreeFrog Therapeutics reserves the right, without notice or compensation, to limit access to one or more services or to temporarily or permanently close the Website, in particular for update reasons or to carry out maintenance, modification, amendment or changes to operating methods, servers and access times, or where required by law.

4.3 Security

TreeFrog Therapeutics will use its best efforts, in accordance with usual practice, to secure the Website given the existing risks and the nature of the data processed.

9. Intellectual property

The Website and/or its content, including the logo, graphic, textual, audio, visual or photographic elements (the "Content") are protected by intellectual property rights (including copyright, patent rights, trademarks, designs and models, databases, domain names and any other existing or future intellectual property right, French or international) and belong to TreeFrog Therapeutics or to third parties who have authorized TreeFrog Therapeutics to use and exploit them.

The User has a personal, free and non-exclusive right of access, limited solely to consulting the Website and/or the Content and only for the duration of the consultation of the Website.

10. Text and data mining

TreeFrog Therapeutics objects to any harvesting, text mining and data mining activity within the meaning of Article L. 122-5-3 of the French Intellectual Property Code. Consequently, TreeFrog Therapeutics reintegrates these acts of exploitation within the scope of its exclusive right.

This objection concerns the entire Website, including its content.

All harvesting, text and data extraction operations on the Website and its Content, including by automated data collection systems, constitute acts of infringement, except with the express consent of TreeFrog Therapeutics.

The Website may include hyperlinks pointing to other websites. These third-party sites are not governed by these Terms.

Insofar as these websites are published by independent third-party companies and TreeFrog Therapeutics cannot control their content, TreeFrog Therapeutics is not responsible for the content of these websites, for which only the publishers are responsible, and is not responsible for the content, advertising, products, services or any other material available on or from these third-party websites.

Consequently, TreeFrog Therapeutics invites all users to review the terms of use applicable to these websites.

13. Miscellaneous provisions

13.1 No waiver

One party's tolerance of a situation does not confer any acquired right on the other party.

13.2 Independence of the parties

These terms and conditions do not constitute an association, franchise or agency granted by one party to the other party.

Neither party may make any commitment in the name of or on behalf of the other party.

Furthermore, each party is solely responsible for its own actions, allegations, commitments, services, products and personnel.

13.3 Outsourcing

The management of the Website may be outsourced by TreeFrog Therapeutics.

13.4 Headings

If difficulties of understanding arise from a contradiction between the title of an article of the Terms and the article itself, the titles shall be deemed non-existent.

13.5 Severability

If any of the provisions of these Terms is held to be invalid or void pursuant to an act, regulation or final judgment of a competent court, this shall in no way affect the validity and legal force of the other provisions of these Terms.

13.6 Entire agreement

These terms and conditions express all the obligations of the parties.

No general or specific condition contained in the documents sent or submitted by the User may be incorporated into these Terms.

13.7 Governing law

These Terms are governed exclusively by French law.

Any dispute arising directly or indirectly from the use of the Website falls within the jurisdiction of the French courts.
